01Introduction

These Terms and Conditions ("Terms") govern the provision of technology and growth services (the "Services") by Auverant Solutions ("Auverant", "we", "us", "our") to any client ("you", "your", "Client") who engages us, whether via our website, email, telephone, or in person. By accepting a proposal, making payment, or otherwise instructing us to commence work, you agree to be bound by these Terms.

02Our services

We provide the following practices to UK and international clients:

  • IT Consulting — independent counsel on technology decisions and roadmaps.
  • Enterprise Technology — ERP, data, and integration for core systems.
  • AI Automation — speed-to-lead and operational AI, offered with a results guarantee where stated.
  • Cloud Solutions — migration, architecture, cost optimisation, and resilience.
  • Cybersecurity — audits, posture hardening, and compliance preparation.
  • Custom Software — websites, web apps, and automation built to your operation.
  • Digital Transformation — outcome-led change programmes.

All engagements begin with a written, fixed-price proposal defining the exact scope, deliverables, timeline, and total price. No work commences without a confirmed proposal.

03Proposals & pricing

3.1  All proposals are provided following an initial consultation and are valid for 30 days from the date issued, unless otherwise stated.

3.2  Proposals are based on the information provided at the time of scoping. If the scope materially changes during delivery, we will notify you promptly and provide a revised proposal before proceeding with any additional work.

3.3  All prices are quoted in pounds sterling (GBP) and are inclusive of VAT where Auverant Solutions is VAT registered, unless stated otherwise on the proposal or invoice. US clients may be quoted or invoiced in USD by direct arrangement.

3.4  Prices shown on our website reflect indicative starting rates for standard-scope engagements. Every project is individually scoped and confirmed in writing before work begins.

04Payment terms

4.1  Auverant does not require deposits. Invoices are raised upon client acceptance of completed deliverables only.

4.2  Payment terms are 14 days from invoice date unless otherwise agreed in writing on the proposal.

4.3  Milestone invoicing may apply to larger or extended engagements, with payments due at agreed stages as defined in the proposal.

4.4  Late payment: sums not paid by the due date may accrue statutory interest, and we may suspend work on overdue accounts.

4.5  Payments are processed securely by our third-party payment providers via debit/credit card and bank transfer. Any third-party costs (for example advertising spend or software licences) are paid by you directly to those providers unless expressly stated.

05Intellectual property

On full payment of all sums due, ownership of the final deliverables created specifically for you transfers to you. We retain ownership of our pre-existing materials, tools, and know-how, which we license to you as needed to use the deliverables. We may reference the engagement in our portfolio in anonymised form unless a confidentiality agreement states otherwise.

06Confidentiality

Auverant treats all client information as strictly confidential. We do not share, sell, or disclose any client data, business information, or project details to third parties, except where required by law or expressly necessary to deliver the Services. This obligation continues after the engagement ends.

07Refunds & cancellation

Because we do not take deposits and invoice only on acceptance, refunds are rarely applicable. Your cancellation rights and our quality remedy are set out in full in our Refund & Cancellation Policy, which forms part of these Terms.

08Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law. Subject to that, our total liability arising from an engagement is limited to the fees paid for that engagement, and we are not liable for indirect or consequential loss, or for loss of profit, revenue, or data.

09Data protection

We process personal data in accordance with our Privacy Policy. By engaging our Services, you acknowledge that your data will be processed as described therein.

10Governing law

These Terms are governed by the laws of England & Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England & Wales.

11Changes to these terms

We may update these Terms to reflect changes in our services, legal requirements, or business practices. The version in force at the time you accept a proposal will apply to that engagement.
